Scope

One asset or one data package, in vitro through translational. Not clinical, not CMC.

Inputs

Data-room access under your NDA. Confirm first that your NDA with the target permits disclosure to advisors under confidentiality; if it does not, I will send you the paragraph that usually resolves it.

Deliverable

Two depths. The red-flag memo is the red-flag table and the management questions, in three to five business days. The full Diligence Memo:

What this memo can judge at bench level

PFF seeding and proteopathy phenotypes; tri-culture and glial activation claims; NLRP3 and inflammasome readouts; MEA network and calcium functional-rescue claims; synapse-loss and pruning data; antibody functional data (ADCC, CDC, internalization) and cell-based binding; siRNA and ASO knockdown and delivery data; receptor occupancy, phospho-flow and ex vivo PK/PD packages; whole-blood and biofluid biomarker data.

Timeline

Three to five business days for the red-flag memo; five to ten for the full memo. A five-business-day rush on the full memo is priced at a thirty percent premium.

What is excluded

Investment advice. The memo is for your internal use, carries no third-party reliance, and says so on its face.

Conflicts

I do not accept any engagement whose objective is diligence on, or competitive intelligence about, my former employer or its publicly disclosed partnered assets, and I will not work on any program I personally worked on. That restriction is standing and has no expiry date. If that is the target, I will tell you in the first minute of the call and save you the time.

Referred out

Immunohistochemistry (IHC), live-animal imaging and electron microscopy data. Where one of these carries the thesis, the memo names the co-reviewer.
